These Terms of Service (“Terms”) govern your access to and use of shin.chat (the “Service”), operated by Senka Solutions LLC (“shin,” “we,” “us,” or “our”), a Wyoming limited liability company with a principal place of business at 1021 E Lincolnway, 7845, Cheyenne, WY 82001, Laramie, US.

By accessing or using the Service, you agree to these Terms. If you do not agree, do not use the Service.

1. Eligibility

You must be at least 18 years old and capable of forming a binding contract to use the Service. The Service is not directed to children or anyone under 18.

By using the Service, you represent and warrant that you meet these requirements and that your use complies with all applicable laws in your jurisdiction.


2. Early Access and Beta Status

shin.chat is currently offered as an early-access beta. During this period:

  • Access is invite-only. We provision accounts at our discretion. Self-service registration may be disabled.
  • The Service is provided free of charge during the beta. We do not collect payment card or billing information through the Service today.
  • Features, limits, uptime, and availability may change without notice.
  • The Service is provided “as is” and “as available.” We do not guarantee uninterrupted or error-free operation.
  • We may modify, suspend, or discontinue any part of the Service at any time.

Your participation in the beta does not entitle you to continued access, any particular feature set, or a specific pricing level if paid plans are introduced later.


3. Accounts and Authentication

3.1 Account creation

Accounts are created when we grant you early access or when you complete our invite flow. You sign in using a magic link sent to your email address. We do not offer password-based login or third-party OAuth sign-in through the Service at this time.

3.2 Account security

You are responsible for:

  • maintaining access to the email address associated with your account;
  • keeping magic-link emails confidential;
  • all activity that occurs under your account.

Notify us promptly at support@shin.chat if you believe your account has been compromised.

3.3 Accurate information

You agree to provide a valid email address and to keep it current. We may suspend or terminate accounts associated with invalid, unreachable, or abusive email addresses.

3.4 One person, one account

Unless we expressly authorize otherwise, each account is for a single individual. You may not share credentials or allow others to use your account.


4. The Service

shin.chat is an AI-assisted chat application designed to help you retrieve and build on your own past thinking — conversations, decisions, notes, and uploaded documents organized in personal workspaces.

Core capabilities include:

  • AI chat with access to your workspace history through retrieval features;
  • automatic extraction of decisions, summaries, titles, and entities from your conversations;
  • semantic search across your archive;
  • document upload and indexing (PDF, DOCX, Markdown, and plain text, subject to size limits);
  • personal workspaces for organizing content.

Workspaces are personal to your account. The Service does not currently support multi-user teams, shared workspaces, or collaborator invites within the application.


5. Acceptable Use

You agree not to misuse the Service. Without limiting other restrictions, you will not:

  • use the Service for any unlawful purpose or in violation of any applicable law or regulation;
  • upload, transmit, or generate content that is illegal, harmful, harassing, defamatory, fraudulent, infringing, or that violates others’ privacy or intellectual property rights;
  • attempt to probe, scan, or test the vulnerability of the Service or circumvent access controls, rate limits, or usage metering;
  • interfere with or disrupt the Service, its infrastructure, or other users’ use of the Service;
  • scrape, crawl, or harvest data from the Service except through interfaces we expressly provide;
  • reverse engineer, decompile, or attempt to extract source code or underlying models except where permitted by law;
  • use the Service or its outputs to develop, train, or improve competing AI models or services, except where expressly permitted by us or by applicable third-party provider terms;
  • resell, sublicense, or commercially exploit the Service without our written consent;
  • misrepresent AI-generated output as human-authored where doing so would be deceptive or harmful;
  • submit sensitive personal data you are not authorized to process (for example, others’ health records, government IDs, or financial account credentials) unless you have a lawful basis and appropriate safeguards.

Your use of AI features is also subject to the acceptable use policies of our AI providers, including Anthropic, Google, and OpenAI. We may suspend or terminate access if we reasonably believe your use violates these Terms or provider policies.


6. Your Content

6.1 What is “Your Content”

Your Content” means information and material you submit to or generate through the Service, including:

  • chat messages and conversation history;
  • workspace names and organization metadata;
  • notes and highlighted excerpts;
  • uploaded documents and derived text chunks;
  • any other content you provide.

It also includes AI-derived artifacts created from your content to operate the Service, such as conversation titles, summaries, extracted decisions, entity labels, embeddings, and search indexes — but only insofar as they are generated from or represent your content.

6.2 Ownership

As between you and shin, you retain ownership of Your Content. We do not claim ownership of your underlying messages, documents, or notes.

6.3 License you grant us

To operate the Service, you grant shin a non-exclusive, worldwide, royalty-free license to host, store, reproduce, process, transmit, display, and otherwise use Your Content solely to:

  • provide, maintain, secure, and improve the Service;
  • run retrieval, search, summarization, decision extraction, embedding, and related features;
  • route Your Content to our subprocessors (including AI providers) as described in our Privacy Policy and Subprocessors list;
  • comply with law and enforce these Terms.

This license ends when Your Content is deleted from our systems, except where retention is required by law or permitted under our Privacy Policy.

6.4 Your responsibilities

You represent and warrant that:

  • you have all rights necessary to submit Your Content and grant the license above;
  • Your Content does not violate these Terms or applicable law;
  • you will not submit content you do not have permission to use.

You are solely responsible for the content you submit and for maintaining your own backups where needed. The Service is not a certified archive or backup solution.


7. AI-Generated Output

The Service uses large language models and related AI systems to generate responses, summaries, titles, decisions, entities, and other output (“AI Output”).

You understand and agree that:

  • AI Output may be inaccurate, incomplete, outdated, or misleading. It can “hallucinate” facts or citations.
  • AI Output is not professional advice — including legal, medical, financial, tax, or mental-health advice. Do not rely on AI Output as a substitute for qualified professionals.
  • You are responsible for reviewing AI Output before acting on it, and for how you use or share it.
  • Retrieval features surface content from your own archive (and documents you attach to a workspace). They do not guarantee completeness or correctness.
  • Extracted “decisions” and similar artifacts are machine-generated interpretations, not verified records of fact. They are not editable through the Service and may be regenerated as conversations evolve.

To the fullest extent permitted by law, shin disclaims liability arising from your reliance on AI Output.


8. Usage Limits and Fair Use

During the beta, the Service includes a free usage allowance tracked internally. When your cumulative AI usage reaches the current free-tier ceiling (equivalent to $20 of metered provider cost at our internal rates), chat and other metered features may be blocked until we raise limits, reset your allowance, or you move to a paid plan if one becomes available.

We may also impose additional rate limits, storage limits, file-size limits (currently 50 MiB per uploaded document), or other technical restrictions to protect the Service and other users.

We reserve the right to throttle, suspend, or terminate accounts that abuse limits, attempt to evade metering, or place unreasonable load on the Service.


9. Third-Party Services

The Service relies on third-party providers for hosting, authentication, databases, storage, background jobs, email, error monitoring, and AI inference. A current list is in our Subprocessors document.

Your use of the Service may also be subject to third-party terms and policies. We are not responsible for third-party services we do not control.

AI provider training: Under our commercial agreements with AI providers used via their APIs, your content submitted through the Service is not used to train their foundation models by default. See our Privacy Policy for details and exceptions (such as if you explicitly opt into a separate development or feedback program, which we do not offer in the consumer app today).


10. Intellectual Property

10.1 Our property

The Service — including its software, design, branding, documentation, and underlying technology (excluding Your Content) — is owned by shin or its licensors and is protected by intellectual property laws. These Terms do not grant you any right to use our trademarks, logos, or brand elements without prior written consent.

10.2 Restrictions

Except as expressly permitted, you may not copy, modify, distribute, sell, or lease any part of the Service or included software.

10.3 Open-source components

The Service may incorporate open-source software subject to separate license terms. Nothing in these Terms limits your rights under those licenses.


11. Feedback

If you provide suggestions, ideas, bug reports, or other feedback about the Service (“Feedback”), you grant us a perpetual, irrevocable, worldwide, royalty-free license to use, modify, and incorporate Feedback into the Service and our business without obligation to you. Do not submit Feedback you wish to keep confidential.


12. Suspension and Termination

12.1 By you

You may stop using the Service at any time. You may sign out of your browser session through the in-app settings. To delete your account and associated data, email support@shin.chat with the subject “delete my shin.chat account.” During the beta, we handle deletion manually and aim to complete it within 48 hours of verifying your request.

12.2 By us

We may suspend or terminate your access immediately if we reasonably believe you:

  • violated these Terms or applicable law;
  • pose a security, abuse, or legal risk;
  • are using the Service in a way that could harm shin, other users, or third-party providers.

We may also discontinue the Service or your access as part of a product change, with or without notice during the beta.

12.3 Effect of termination

Upon account deletion, we will delete or de-identify Your Content from our production systems in accordance with our Privacy Policy, subject to limited retention where required by law or for legitimate security purposes. Sections that by their nature should survive termination will survive (including Sections 6.2–6.4, 7, 11, 13–16, and 17).


13. Disclaimers

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, THE SERVICE AND ALL AI OUTPUT ARE PROVIDED “AS IS” AND “AS AVAILABLE” WITHOUT WARRANTIES OF ANY KIND, WHETHER EXPRESS, IMPLIED, OR STATUTORY.

WE DISCLAIM ALL WARRANTIES, INCLUDING IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, NON-INFRINGEMENT, AND ANY WARRANTIES ARISING FROM COURSE OF DEALING OR USAGE OF TRADE.

WE DO NOT WARRANT THAT THE SERVICE WILL BE UNINTERRUPTED, SECURE, ERROR-FREE, OR THAT DEFECTS WILL BE CORRECTED, OR THAT AI OUTPUT WILL BE ACCURATE OR RELIABLE.

SOME JURISDICTIONS DO NOT ALLOW CERTAIN DISCLAIMERS. IN THOSE JURISDICTIONS, DISCLAIMERS APPLY TO THE FULLEST EXTENT PERMITTED BY LAW.


14. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW:

  • IN NO EVENT WILL SHIN OR ITS OFFICERS, DIRECTORS, MEMBERS, EMPLOYEES, AGENTS, OR AFFILIATES BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, EXEMPLARY, OR PUNITIVE DAMAGES, OR ANY LOSS OF PROFITS, DATA, GOODWILL, OR BUSINESS OPPORTUNITY, ARISING OUT OF OR RELATED TO THESE TERMS OR THE SERVICE, EVEN IF ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.
  • OUR TOTAL AGGREGATE LIABILITY FOR ALL CLAIMS ARISING OUT OF OR RELATED TO THESE TERMS OR THE SERVICE WILL NOT EXCEED THE GREATER OF (A) USD $100 OR (B) THE AMOUNTS YOU PAID US FOR THE SERVICE IN THE TWELVE (12) MONTHS BEFORE THE EVENT GIVING RISE TO THE CLAIM (WHICH MAY BE $0 DURING THE FREE BETA).

THE LIMITATIONS IN THIS SECTION APPLY TO ANY THEORY OF LIABILITY (CONTRACT, TORT, NEGLIGENCE, STRICT LIABILITY, OR OTHERWISE) AND SURVIVE EVEN IF ANY REMEDY FAILS OF ITS ESSENTIAL PURPOSE.

SOME JURISDICTIONS DO NOT ALLOW LIMITATION OF CERTAIN DAMAGES. IN THOSE JURISDICTIONS, OUR LIABILITY IS LIMITED TO THE FULLEST EXTENT PERMITTED BY LAW.


15. Indemnification

You will defend, indemnify, and hold harmless shin and its officers, directors, members, employees, and agents from and against any claims, damages, losses, liabilities, costs, and expenses (including reasonable attorneys’ fees) arising out of or related to:

  • Your Content;
  • your use of the Service;
  • your violation of these Terms or applicable law;
  • your violation of any third-party right, including intellectual property or privacy rights.

We may assume exclusive defense and control of any matter subject to indemnification, and you will cooperate with our defense. You may not settle any claim without our prior written consent.


16. Governing Law and Disputes

16.1 Governing law

These Terms are governed by the laws of the State of Wyoming, United States, without regard to conflict-of-law principles.

16.2 Informal resolution

Before filing a claim, you agree to contact us at support@shin.chat and attempt to resolve the dispute informally for at least 30 days.

16.3 Venue

Except where prohibited by applicable law, you and shin agree that any judicial proceeding arising out of these Terms or the Service will be brought exclusively in the state or federal courts located in Wyoming, and you consent to personal jurisdiction and venue in those courts.

16.4 EU/UK consumers

Nothing in this section limits mandatory consumer protection rights you may have under the laws of your country of residence if you are a consumer in the European Union or United Kingdom.


17. Changes to These Terms

We may update these Terms from time to time. If we make material changes, we will provide notice by posting the updated Terms on our website or in the Service and updating the “Last updated” date above. Your continued use of the Service after the effective date of revised Terms constitutes acceptance. If you do not agree, you must stop using the Service and may request account deletion.
